1) Scope of Application
1.1 These General Terms and Conditions (GTC) of Wodoil GmbH (hereinafter "Seller") apply to all contracts for the supply of goods that a consumer or entrepreneur (hereinafter "Customer") concludes through the Seller's online shop.
1.2 A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor related to their independent professional activity (§ 13 BGB).
1.3 An entrepreneur is a natural or legal person or a legal partnership who, when entering into a legal transaction, acts in the exercise of their commercial or independent professional activity (§ 14 BGB).
1.4 Any deviating or conflicting general terms and conditions of the Customer shall not become part of the contract unless the Seller expressly agrees to their validity in writing.
2) Conclusion of Contract
2.1 Product descriptions in the online shop do not constitute legally binding offers; they serve to allow the Customer to submit a binding offer.
2.2 The Customer can submit an offer via the online order form, by email, by telephone, or via a contact form. By clicking the order button, the Customer submits a binding offer.
2.3 The Seller may accept the offer within five days by sending a written or electronic order confirmation (fax, email), by delivering the goods, or by requesting payment after receipt of the order.
2.4 The acceptance period begins on the day after the offer is sent and ends at the end of the fifth day. If acceptance does not occur, the offer is deemed rejected.
2.5 For payment methods via PayPal, Sofort/Klarna, Stripe, or purchase on account (invoice), the terms of use of the respective payment service providers apply. In the case of payment by invoice, the amount is due within 14 days after delivery and invoicing.
2.6 The contract text will be archived by the Seller and made available to the Customer in text form (e.g., email) after the conclusion of the contract. Customers with a user account can view their order data there.
3) Right of Withdrawal
3.1 Consumers are entitled to a right of withdrawal according to §§ 355, 356 of the BGB (German Civil Code).
3.2 Detailed information regarding the right of withdrawal can be found in the Seller's cancellation policy.
4) Prices and Payment Conditions
4.1 All prices include statutory VAT. Shipping costs are indicated separately.
4.2 Available payment methods are specified in the online shop.
4.3 In the case of payment in advance, payment is due immediately unless otherwise agreed.
4.4 For payment methods via PayPal, Sofort/Klarna, or Stripe, the terms of use of the respective providers apply.
4.5 For purchases on account, the invoice amount is due 14 days after receipt without deductions.
5) Shipment and Delivery Conditions
5.1 Deliveries will be made to the delivery address specified by the Customer within the delivery area specified by the Seller.
5.2 For deliveries by freight carrier, delivery is generally made "curbside" unless otherwise agreed.
5.3 If delivery fails for reasons attributable to the Customer, the Customer shall bear the reasonable costs incurred as a result.
5.4 Transfer of Risk:
Entrepreneur: The risk is transferred upon delivery of the goods to the carrier, freight forwarder, or other person designated to carry out the shipment.
Consumer: The risk is transferred upon delivery of the goods to the Customer or an authorized person.
5.5 Collection: The Customer can collect the goods during the Seller's business hours; in this case, no shipping costs will apply.
6) Retention of Title
The goods remain the property of the Seller until full payment of the purchase price.
7) Liability for Defects (Warranty)
7.1 Entrepreneurs:
- The Seller shall choose the type of supplementary performance (repair or replacement).
- New goods: Claims for defects expire 1 year after delivery.
- Used goods: Liability for defects is excluded.
- Replacement delivery: The limitation period does not restart.
7.2 Exceptions: Statutory rights remain unaffected in cases of intent, damage to buildings, digital products, or mandatory legal provisions.
7.3 Consumers: Please report obvious transport damage immediately; statutory rights remain unaffected.
8) Applicable Law
The law of the Federal Republic of Germany applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
9) Jurisdiction
9.1 Consumer: Jurisdiction is determined according to § 13 ZPO (Code of Civil Procedure) at the residence of the consumer or the seller.
9.2 Entrepreneur: The exclusive place of jurisdiction is the Seller's place of business; however, the Seller may also bring an action at the Customer's place of residence.
10) Alternative Dispute Resolution
The Seller is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
